Terms of Use
Agreement and scope
These Terms of Use ("Terms") govern access to omnicortai.com, Founder 50, Omnicort customer workspaces, and related Business Brain and AI communication employee services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms on your own behalf or for the organization you represent.
If you use the Service for an organization, you represent that you have authority to bind that organization. Additional order forms, pilot terms, data processing terms, pricing, or product-specific conditions may apply. If they conflict with these Terms, the more specific agreed terms control for that subject.
Accounts and eligibility
You must be able to form a binding agreement and provide accurate account and business information. You are responsible for protecting credentials, controlling workspace membership, keeping contact information current, and promptly reporting suspected unauthorized use.
You may not share credentials in a way that bypasses permitted user limits or allow someone to use the Service after their authorization ends.
Acceptable use
You may use the Service only for lawful, authorized business purposes. You must not use it to deceive or impersonate people unlawfully; violate privacy, consumer-protection, telemarketing, recording, employment, intellectual-property, export, sanctions, or communications laws; contact people without required consent; evade opt-outs or do-not-contact instructions; distribute malware; gain unauthorized access; interfere with service operation; extract secrets or hidden instructions; or test security in a way that risks data or systems.
You must not use Omnicort for emergency services or as a substitute for licensed legal, medical, financial, or other regulated professional judgment unless a separate written agreement and required controls expressly permit the use.
Your content and instructions
You retain rights in business content you submit, subject to any rights held by others. You grant Omnicort and its service providers a limited right to host, process, transmit, transform, and display that content as needed to provide, secure, support, and improve the Service in accordance with the Privacy Statement and your product settings.
You represent that you have the rights, permissions, notices, and lawful basis needed for content and instructions you provide, including customer information, contact details, recordings, transcripts, documents, connected accounts, and communication campaigns.
AI-assisted features
The Service may use AI to draft, summarize, retrieve, classify, recommend, speak, or propose actions. AI output may be inaccurate, incomplete, biased, or unsuitable for a particular purpose. You are responsible for configuring permissions and review requirements, evaluating output, and applying human judgment where appropriate.
Do not treat output as professional advice or as permission to act outside law, consent, contract, company policy, or configured limits. Omnicort may block, defer, or require review for an action when authority, identity, consent, evidence, budget, or safety is uncertain.
Customer communications and consent
You are responsible for identifying your business and AI-assisted communications as required, honoring opt-outs, maintaining suppression lists, selecting lawful calling and messaging times, obtaining required consent for contact and recording, and providing notices appropriate to your location and audience.
An owner's approval inside Omnicort does not override a customer's opt-out, applicable law, or a provider's rules.
Connected services
The Service may connect to third-party products. Your use of a connected service remains subject to that provider's terms, permissions, availability, and data practices. You authorize Omnicort to access and process the selected information through the scopes you approve.
Omnicort is not responsible for a third-party service's independent operation, changes, suspension, data loss, or security. We may limit or disable a connection that is unsafe, unavailable, unauthorized, or incompatible.
Founder 50 and beta services
Founder 50, previews, pilots, simulations, and beta features may be incomplete, capacity-limited, manually operated, changed, or discontinued. Applying does not guarantee acceptance. Acceptance does not guarantee that every requested channel, language, connector, or employee capability is available.
Beta features must not be used for high-risk live decisions unless Omnicort has expressly enabled the use and the required safeguards are in place. Feedback may be used to improve the Service, but we will not publish your name, logo, testimonial, or case study without permission.
Fees, usage, and taxes
Paid services may include subscription, setup, wallet, usage, communication, connected-service, or other charges shown in the applicable offer or workspace. You authorize the stated charges and are responsible for applicable taxes, destination rates, provider pass-through costs, and usage generated under your account, except where law or agreed terms provide otherwise.
Usage estimates are estimates. Product controls may pause or block activity when balance, risk, rate, or capacity requirements are not met.
Omnicort intellectual property
Omnicort and its licensors own the Service, software, design, branding, documentation, models of operation, and related intellectual property, excluding your content. Subject to these Terms and applicable payment, Omnicort grants you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal authorized business purposes.
You may not copy, resell, sublicense, reverse engineer, or create competing services from protected parts of the Service except to the extent a restriction is prohibited by law.
Suspension and termination
You may stop using the Service and request account closure. We may suspend or terminate access when needed to protect customers, data, systems, providers, or the public; respond to suspected misuse; enforce these Terms; comply with law; address non-payment; or retire a beta or service.
Where practical, we will provide notice and an opportunity to cure. Immediate action may be necessary for security, legal, fraud, consent, or harm risks. Terms that by their nature should survive termination will survive.
Disclaimers
The Service is provided on an "as is" and "as available" basis to the extent permitted by law. Omnicort does not warrant uninterrupted operation, error-free output, a specific commercial result, compatibility with every provider or language, or that AI output will always be accurate or appropriate.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
Limitation of liability
To the maximum extent permitted by law, Omnicort and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunity arising from the Service.
To the maximum extent permitted by law, Omnicort's aggregate liability arising from the Service will not exceed the amount you paid to Omnicort for the Service during the twelve months before the event giving rise to the claim. These limits do not apply where prohibited by law or to liability that cannot be limited.
Changes, applicable law, and contact
We may update these Terms as the Service evolves. We will update the effective date and provide additional notice where required. Continued use after an effective update constitutes acceptance where permitted by law.
These Terms are interpreted under the laws applicable to the entity operating Omnicort, without limiting mandatory rights that apply to you. Before public commercial rollout, an applicable order form may identify the contracting entity, venue, and dispute process.
